1. Introduction

These Terms and Conditions ("Terms") govern the use of the services and products offered by OnDemand S.A.S. ("we", "our", "the Company"). By accessing or using our services, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, do not use our services.

Services

We offer software development, mobile applications, tech consulting, maintenance, and support services. Specific details of the services will be outlined in individual project agreements.

Use of Services

Eligibility: You must be at least 18 years old to use our services. User Account: Some services may require creating an account. You are responsible for maintaining the confidentiality of your account and password and agree to notify the Company of any unauthorized use of your account.

Acceptable Use: You agree to use our services only for lawful purposes and in accordance with these Terms. You must not use our services for any fraudulent, illegal, or unauthorized activity.

Intellectual Property

Company Rights: All rights, title, and interest in the services, including all intellectual property rights, belong to the Company.

User License: The Company grants you a limited, non-exclusive, non-transferable, and revocable license to use the services in accordance with these Terms.

User Content: You retain all rights to the content you submit, post, or display through our services. By submitting content, you grant the Company a license to use, modify, and distribute such content in connection with the operation of our services.

Payments and Billing

Fees: Service fees will be set forth in individual project agreements.

Billing: The Company will issue invoices according to the agreed terms. Payments must be made within the timeframes specified in the invoice.

Late Payments: Late payments may incur penalty charges. The Company reserves the right to suspend or terminate access to the services in case of non-payment.

Confidentiality

Both parties agree to keep any confidential information received in connection with the services confidential. Confidential information must not be disclosed to third parties without the prior written consent of the other party.

Warranties and Limitation of Liability

Warranties: The Company strives to provide high-quality services but does not guarantee that the services will be error-free or uninterrupted.

Limitation of Liability: The Company shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of income, profits, data, or use, incurred by the user or any third party arising from the use of our services.

Termination

By the User: You may terminate your account at any time by providing written notice to the Company.

By the Company: The Company may terminate or suspend your access to the services at any time, without prior notice, for any reason, including violation of these Terms.

Changes to the Terms

The Company reserves the right to modify these Terms at any time.

We will notify you of any significant changes via notice on our website or through other appropriate means. Your continued use of the services after such changes constitutes your acceptance of the new Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of Colombia. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Colombia.
